Terms of Service & EULA

These Terms of Service (“Terms”) are an agreement between you and [LEGAL ENTITY NAME] operating as eTracer (“eTracer”, “we”). They double as our end-user license agreement (EULA). By creating an account or using etracer.ca and the eTracer application (the “Service”), you agree to these Terms and our Privacy Policy.

1. The Service

eTracer reads Interac e-Transfer® notification emails from inboxes you connect (read-only) and matches those payments to invoices in the accounting platform you connect (QuickBooks Online, Xero, FreshBooks, or Wave), booking matches and sending receipts under the settings you choose. eTracer is not a bank, payment processor, or money services business — the Service never sends, receives, holds, or moves funds. It reconciles records of payments you already received. Interac is a registered trademark of Interac Corp.; QuickBooks is a trademark of Intuit Inc. eTracer is not affiliated with or endorsed by them.

2. Accounts and eligibility

The Service is for business use. You must be at least 18, provide accurate information, and keep your credentials secure. You are responsible for activity under your account and for ensuring you have authority to connect the inboxes and accounting company files you connect.

3. Authorizations you grant

  • Email: read-only access to connected inboxes, limited to identifying and processing Interac e-Transfer notification emails.
  • Accounting: reading open invoices and customers, applying payments (automatically per your matching settings, or when you confirm), and recording an audit trail.
  • Receipts and notifications: sending receipt emails to your clients and notification emails to you, per your Settings.

You can revoke any authorization at any time in Settings or at the provider. Third-party services you connect are governed by their own terms.

4. Trial, subscriptions, auto-renewal, cancellation

  • Free trial: 14 days, full-featured. A valid payment card is required to start.
  • Auto-renewal: unless you cancel auto-renewal before the trial ends, your card is charged for the plan you selected when the trial ends, and monthly thereafter. Current pricing is shown at etracer.ca — Pricing; prices are in CAD and exclude applicable taxes.
  • Cancel anytime: in Settings, effective at the end of the current billing period. Turning off auto-renewal during the trial means you are never charged. When access ends, your books keep everything already booked.
  • Guarantee: if the Service isn’t saving you time in your first paid month, contact us within that month for a full refund of that month.
  • Changes: plan prices may change with at least 30 days’ email notice, effective your next billing period.

5. Acceptable use

You will not misuse the Service — including attempting unauthorized access, reverse engineering, reselling without permission, connecting inboxes or company files you are not authorized to access, or using the Service in violation of law.

6. Your responsibility for your books

eTracer proposes and books matches using the rules and settings you control, and every action is reversible and logged. You (or your bookkeeper) remain responsible for reviewing your books. The Service provides software, not accounting, tax, or financial advice.

7. Intellectual property

We own the Service and its content; you own your data. You grant us the limited rights needed to operate the Service on your behalf as described in the Privacy Policy.

8. Availability, disclaimer, limitation of liability

We aim for high availability but the Service is provided “as is” without warranties of any kind. Matching depends on third-party services (email providers, accounting platforms) that may change or interrupt access. To the maximum extent permitted by law, our total liability for any claim arising from the Service is limited to the fees you paid us in the 12 months before the claim, and we are not liable for indirect or consequential damages. Nothing in these Terms limits liability that cannot be limited under applicable law.

9. Termination

You may close your account at any time. We may suspend or terminate accounts that violate these Terms, with notice where practicable. Sections that by their nature should survive (5–10) survive termination.

10. Governing law

These Terms are governed by the laws of [PROVINCE, e.g. Ontario] and the federal laws of Canada applicable therein. Courts located in [CITY, PROVINCE] have exclusive jurisdiction.

11. Changes to these Terms

We may update these Terms; for material changes we will give at least 30 days’ notice by email. Continued use after the effective date constitutes acceptance.
