Terms of Service & EULA

These Terms of Service (“Terms”) form an agreement between you and eTracer Inc., operating as eTracer (“eTracer”, “we”, “us”, “our”). They also serve as our end-user licence agreement. By creating an account or using etracer.ca or the eTracer application (together, the “Service”), you agree to these Terms and to our Privacy Policy. If you are agreeing on behalf of a business, you confirm you have authority to bind that business.

1. What the Service does

eTracer matches Interac e-Transfer® payment notifications to open invoices in the accounting platform you connect (QuickBooks Online, Xero, FreshBooks, or Zoho Books), books the matched payment, and sends receipts according to the settings you choose.

eTracer is not a bank, payment processor, money services business, or money transmitter. The Service never sends, receives, holds, custodies, or moves funds. It reconciles records of payments you have already received in your own bank account.

How notifications reach us

eTracer does not connect to, sign into, or read your mailbox. When you set up your account we assign you a private receiving address. You create a rule in your own email account that forwards only Interac e-Transfer notification messages to that address. Each forwarded notification is cryptographically verified against Interac's digital signature before it is used; notifications that fail verification are quarantined and never applied to your books.

You control that forwarding rule. Deleting it stops delivery to eTracer immediately and permanently. Because delivery depends on a rule inside your own email account, you are responsible for creating and maintaining it, and eTracer is not responsible for payments it never receives notice of.

2. Accounts and eligibility

The Service is offered for business use. You must be at least 18 years old, provide accurate account information, and keep your credentials secure. You are responsible for all activity under your account, and for confirming you are authorized to forward the notifications you forward and to connect the accounting company file you connect.

3. Authorizations you grant

  • Forwarded notifications: permission to receive, verify, and process the Interac e-Transfer notification emails your own mail rule forwards to your private eTracer address. We request no permission to your email account itself.
  • Accounting platform: permission to read open invoices and customer records, to apply payments (automatically under your matching settings, or on your confirmation), and to record an audit trail.
  • Receipts and notifications: permission to send receipt emails to your clients and service notifications to you, according to your Settings.

You may revoke any authorization at any time in Settings, by deleting your forwarding rule, or from the third-party provider directly. Services you connect are governed by their own terms and privacy policies.

4. Plans, billing, and cancellation

Free plan

  • eTracer offers a free plan with no time limit. No payment card is required to create an account or to use the free plan.
  • The free plan includes a monthly allowance of matched e-transfers. The current allowance is shown on our pricing page.
  • When you reach the allowance in a calendar month, matching pauses until the allowance resets or you upgrade. Payments received while matching is paused are not lost — they queue and can be matched after you upgrade or the allowance resets.

Paid plans

  • Paid plans are billed in advance, monthly or annually as you select, by our payment processor Stripe, Inc. Current pricing is shown on our pricing page. Prices are in Canadian dollars and exclude applicable taxes, which are added at checkout.
  • Auto-renewal: paid plans renew automatically at the end of each billing period at the then-current price, until you cancel. You authorize us to charge your payment method for each renewal.
  • Cancel anytime: you may cancel in Settings at any time. Cancellation takes effect at the end of the billing period you have already paid for, and your account reverts to the free plan. Except where required by law, fees already paid are not refunded, and we do not provide partial-period credits.
  • Failed payments: if a charge fails we may retry it and will notify you. If it remains unpaid, the account reverts to the free plan.
  • Price changes: we may change plan prices on at least 30 days' email notice, effective from your next billing period. If you do not accept a change, cancel before it takes effect.
  • Your records stay yours. Downgrading or cancelling does not remove anything already booked into your accounting platform, and you can export your eTracer audit trail at any time while your account exists.

5. Acceptable use

You will not: attempt unauthorized access to the Service or to another user's data; reverse engineer, decompile, or copy the Service; resell or provide the Service to third parties without our written permission; forward messages other than Interac e-Transfer notifications for your own business; connect an accounting company file you are not authorized to access; submit falsified or altered payment notifications; or use the Service in violation of applicable law, including anti-money-laundering law.

6. Your responsibility for your books

eTracer proposes and books matches using the rules and settings you control. Every action is logged and reversible from your eTracer ledger. You, or your bookkeeper or accountant, remain responsible for reviewing your books and for the accuracy of your financial records and tax filings. The Service provides software only. It is not accounting, bookkeeping, tax, legal, or financial advice.

7. Intellectual property

We own the Service, its software, and its content. You own your data. You grant us the limited, non-exclusive licence needed to host, process, and transmit your data solely to operate the Service on your behalf, as described in the Privacy Policy. That licence ends when you delete the data or close your account.

8. Availability and third-party dependencies

We aim for high availability but do not guarantee uninterrupted service. Matching depends on services outside our control — your email provider, Interac, and your accounting platform — which may change, rate-limit, or interrupt access. Planned maintenance will be announced where practicable.

9. Disclaimer and limitation of liability

To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or relating to the Service is limited to the greater of (a) the fees you paid us in the 12 months before the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD 100). We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost or inaccurate data, even if advised of the possibility.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including under consumer protection legislation that applies to you.

10. Indemnity

You will indemnify and hold eTracer harmless from claims, damages, and reasonable legal costs arising from your breach of these Terms, your misuse of the Service, or your connecting an email account or accounting file you were not authorized to connect.

11. Termination

You may close your account at any time in Settings. We may suspend or terminate an account that breaches these Terms or creates legal or security risk, with notice where practicable. On termination your right to use the Service ends; sections 5 through 12 survive.

12. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws rules. The courts of the Province of Ontario have exclusive jurisdiction, and you and eTracer consent to their jurisdiction and venue. Nothing here removes any right you may have to bring a claim before a regulator or a small claims court in your own province.

13. Changes to these Terms

We may update these Terms. For material changes we will give at least 30 days' notice by email to the address on your account and update the effective date above. Continued use of the Service after the effective date constitutes acceptance.
